Subscription terms
This translation is provided for your convenience. In case of discrepancies, the Danish version prevails.
1. TransportTender
1.1 TransportTender
TransportTender is developed and operated by TransportTender ApS (“TransportTender”). Depending on the Subscription Agreement, the platform gives the Customer's employees (the “Users”) access to various modules within the Tender Portal developed by TransportTender.
1.2 Access to TransportTender
All TransportTender products are web-based, which means the Customer can access all modules via a web browser. The Customer's login gives access to the modules included in the Subscription Agreement. The Customer can extend its Subscription by adding more modules, which will then be made available in the Customer's login.
1.3 Add-ons
The Customer can purchase invoice control as an add-on for all modes of transport and from several transport providers.
2. Use of TransportTender
2.1 Rights of use
The Customer may only use TransportTender for internal business purposes and may not give third parties access to the platform.
2.2 Shipment data
The TransportTender modules can generate data created by the Customer (“Shipment Data”). This data is stored in TransportTender and can be used for purposes such as statistics. The Supplier acts as data processor, while the Customer remains data controller and has full control over the deletion or anonymisation of Shipment Data. The Supplier guarantees that Shipment Data will not be lost and only deletes data when the subscription ends.
2.3 Suspension of access
The Customer's access to TransportTender may be suspended if the Subscription is not paid on time. Access is restored as soon as payment has been received.
3. Service
3.1 Customer service
The Customer has access to customer service as part of its Subscription. Customer service is available on weekdays from 8:00 to 16:00 (Danish time) by phone and email. Set-up of the price matrix/freight matrix is included in standard customer service.
3.2 Changes to the platform
Maintenance and changes are planned to minimise inconvenience to the Customer. Major changes are announced in the Supplier's newsletter.
4. Finances
4.1 Subscription fees
The Subscription consists of the modules chosen in the Subscription Agreement and any later add-ons (the “Subscription Fee”). The fee is charged in advance for each agreed period (e.g. annually, or monthly for a surcharge). The Supplier may adjust subscription prices once a year.
4.2 Services beyond the Subscription
Services not included in the Subscription are invoiced on the basis of time spent at the applicable hourly rates, rounded up to the nearest hour.
4.3 Invoicing and payment
The Subscription and any other services fall due upon the Supplier's invoicing. All prices are exclusive of VAT and duties. The monthly price for use of the software is invoiced annually.
5. Rights
5.1 Ownership
The Supplier owns all rights to TransportTender.
5.2 Shipment data and confidentiality
Shipment Data belongs to the Customer and may only be used by the Supplier to deliver the agreed services. The Supplier is entitled to use anonymised data for statistics in the modules, but without personally identifiable information. Shipment Data and prices are confidential. A separate confidentiality agreement can be entered into on request.
6. Processing of personal data
6.1 Personal data in Shipment Data
Shipment Data may contain personal data about the Customer's customers. The Customer is data controller, while the Supplier is data processor. When the Subscription Agreement ends, all Shipment Data is deleted. Personal data breaches are reported to the Customer immediately, and the Customer is responsible for informing the supervisory authority. The Supplier uses technical sub-processors within the EU/EEA.
6.2 Data responsibility for Customer Data
The Supplier stores personal data about the Customer and Users for general purposes such as sales and marketing and is data controller for this processing.
7. Defects and liability
7.1 Limitation of liability
TransportTender ApS is not liable for indirect or consequential losses. Direct losses documented as a result of non-compliance with the Subscription Agreement are limited to the amount paid by the Customer for the last 12 months. It is the Customer's responsibility to ensure that prices are set up correctly in the Portal.
7.2 Breach of the Subscription Agreement
The agreement may be terminated by written notice in the event of breach. Non-payment may result in termination after a payment reminder.
8. Term and termination
8.1 Agreement period
The Subscription Agreement is automatically renewed for a further 24 months unless terminated by either party at least 90 days before expiry. If terminated mid-period, fees already paid are not refunded.
